Terms of Service (ToS)

1. Terms of Business

These terms and conditions apply and are legally binding while Databrill UK Limited supplies services to you (the customer) in relation to Amazon services, including but not limited to Pay Per Click (PPC) Management, Amazon DSP, as well as other digital advertising platforms where agreed.

2. Period of Contract

The contract will commence on the date on which it is agreed by the customer and will run for 90 days (unless otherwise agreed in writing). Once the initial 3-month agreement expires, Databrill UK Limited will require companies to commit to a 12-month agreement (unless agreed otherwise with written confirmation).

3. Services Provided

Databrill UK Limited will use all reasonable endeavours to ensure that customers’ advertising receives the most favourable placing on Amazon and any other platforms identified by Databrill UK Limited from time to time that we can practically obtain.

Customers will provide Databrill UK Limited with all relevant information required to ensure correct exposure on the desired platforms.

4. Communication with the Customer

Databrill UK Limited will maintain regular contact with the customer to ensure both parties are kept informed of all relevant information necessary to enable the provision of services.

5. Payment for Services

In consideration of the services provided, the customer will pay Databrill UK Limited at the rate set out in the contract between Databrill UK Limited and the customer, which may be amended from time to time with agreement.

Once an agreement has been arranged, the customer is expected to pay the Databrill UK Limited management fee within 5 working days.

6. Method of Payment

Payment from the customer to Databrill UK Limited will be made by credit or debit card or such other method as agreed by both parties. The customer will provide Databrill UK Limited with all necessary bank details to enable payments to be processed.

7. Notice

All notices shall be in writing and will be deemed validly served if addressed and transmitted to the last known operating address of the recipient.

8. Confidentiality

Databrill UK Limited agrees not to show or share any information relating to your account with any other business, organisation, or individual whether you are a client or not, except as required by law or with your explicit consent.

9. Liability

Databrill UK Limited’s liability is limited to the obligations under this agreement. We will not be liable for any other liabilities, direct or indirect, except where caused by our sole negligence. In any event, Databrill UK Limited’s liability will not exceed the value of three (3) months of fixed fees incurred to the customer.

Databrill UK Limited cannot be held responsible for any loss of earnings as a result of your advertising not appearing on the agreed platforms or for any other related reason.

This agreement shall be governed by and construed in accordance with the laws of England and Wales.
